MINIGH TERMS AND CONDITIONS

This Terms of Use Agreement (the "Agreement") constitutes a binding agreement between ARIDRISHTI SL (registered under Mercantil Madrid (Asiento:10/153/1 146 Folio: 170 FP: 28/06/21 Prof:2021/2981/N/22/06/2021), NIF-B42834606, Calle Leon Felipe 6, Fuenlabrada, Madrid, Spain) and, for Bangladesh-attributed transactions, Aridrishti BD (registered office at 777 Manikdee Bazar, Dhaka Cantonment, Dhaka-1206, Bangladesh — Aridrishti SL’s Bangladesh development and operations partner under a separate commercial contract, and not a subsidiary or affiliate of Aridrishti SL) (together, "MiNigh", "we," or "us") and you concerning your use of https://www.minigh.com/ (the "Web Application"). By using the Web Application, you accept this Agreement. If you do not wish to be bound by this Agreement, do not use it.
This Agreement does not apply to the use of other websites or applications operated by ARIDRISHTI SL, such as FlyScan, DocValy, EasyKomida, E-Trust, etc, or other active research projects such as TrafficEye, FlySave, Kotha, etc. Please refer to each website’s/application’s own terms of use.
1. Eligibility
You must be at least 18 years old to create a MiNigh account. By using MiNigh, you confirm that you meet this requirement.
2. License to Use the Web Application
ARIDRISHTI SL grants you a limited, non-exclusive licence to access and use the Web Application for your own personal, non-commercial (except limited use of your own referral link) purposes. This licence is personal to you and may not be assigned or sublicensed to anyone else. Except as expressly permitted in writing, you will not reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer or disassemble the Web Application, nor take any measure to interfere with or damage it. All rights not expressly granted are reserved.
3. Privacy
We are compliant with the EU personal data protection framework (GDPR) and, for Bangladesh-connected processing, Bangladesh’s Personal Data Protection Act, 2026. For full details of what data we collect, why, and how long we keep it — including after you delete your account — please read our Privacy Policy.
4. How MiNigh Works
After verifying your account (by email code or by signing in with Google or Apple, at your choice), completing your profile, and updating your location, you can:
— Post a Wish (an activity you want to do with someone nearby) or send a Request (to join an activity someone else posted). Once both members have paid, a private in-app chat opens between you, subject to the message/attachment/voice-note/call-time limits shown in that chat.
— Host or join in-person or online Events. Hosting an Event requires completing MiNigh’s Host Verification process (identity and, where a fee applies, tax information), described further in Section 9 below.
MiNigh does not integrate with any third-party messenger — all suggestions, chat, calling, and event communication happens directly inside the Web Application.
5. Account Verification and Security
You do not need a password to access MiNigh — you sign in with a one-time code sent to your email, with Google or Apple sign-in, or with a passkey saved on your device. You are responsible for keeping your device and your email account secure. If you lose access to your account, please contact us and we will help you regain access.
6. Checkout Confirmation
Before completing any payment on MiNigh, you will be asked to type and confirm a short checkout confirmation phrase. This is a deliberate, active step confirming that you knowingly intend to make that specific payment. We keep a record of this confirmation (together with the time and your device’s IP address) as described in our Privacy Policy, including for use as evidence should the payment later be disputed as a chargeback with your bank or payment provider (see Section 15 below).
7. Posting Limits
You may post up to five unpaid Wishes/Requests and five paid Wishes within any 24-hour period. There is no expiry time on a post; you may cancel or delete it at any time before it is confirmed. Against any single unpaid post, we allow a maximum of ten Requests.
8. Suggestions
MiNigh suggests members based on your activity preferences and a Fit score, which also takes zodiac sign and your self-assessment results into account. A suggestion is not a guarantee, and you are solely responsible for deciding whether to proceed to meet anyone MiNigh suggests.
9. Hosting and Joining Events
To host an Event, you must first complete MiNigh’s Host Verification process, which confirms your identity via a live photo capture and, where Host Registration is not offered free of charge, requires payment of a registration fee (shown to you before you pay, and which may include an upfront deposit and a remainder collected later). Hosting also requires you to read and accept MiNigh’s Host Agreement, a separate document specific to the country your Host Verification is attributed to, available from Settings > About & Legal, which governs the fees, tax withholding, and payout terms that apply to you as a host.
Joining a paid Event requires payment of the ticket price plus a platform service fee and any applicable VAT, all shown to you before you confirm payment. Some Events use “Promise to Pay”, a genuine payment-card or PayPal authorisation hold rather than an immediate charge, captured later at or before the Event’s registration deadline.
Event cancellation (by you, or by the host cancelling the whole Event) may entitle you to a refund of some or all of what you paid, net of a cancellation fee and subject to the VAT/tax treatment applicable to that payment, calculated and shown to you at the time of cancellation. Refunds are issued either to your original payment method or to your MiNigh wallet, where a choice is offered.
10. Refund and Cancellation Policy (Wishes and Requests)
You can cancel or delete a Wish or Request at any time before it is confirmed (confirmed meaning both you and the other member have paid). Once confirmed, cancelling is still possible but may be subject to a cancellation fee and the applicable VAT/tax treatment, calculated and shown to you before you confirm the cancellation; any refundable amount is credited either to your original payment method or to your MiNigh wallet, as offered. You agree that ARIDRISHTI SL/Aridrishti BD may automatically apply an unused, refund-eligible amount toward a new Wish or Request you post, instead of issuing a separate refund, where MiNigh offers you that choice.
11. Wallet, Withdrawals, and Referral/Cashback Earnings
Cashback, referral commissions, and host event earnings are credited to your in-app MiNigh wallet, tracked separately per currency. You can withdraw a wallet balance once it reaches the minimum withdrawal amount shown to you in the withdrawal screen for that currency (currently 20 EUR or the equivalent minimum for other supported currencies). Withdrawal is subject to a tax-information verification step, and the amount you receive reflects the applicable VAT/withholding tax for your country and the currency being withdrawn, and any processing fee of the withdrawal method you choose (bank transfer, card transfer, PayPal, Wise, bKash, or another method offered to your country), all shown to you before you confirm the withdrawal.
Wallet top-ups are non-refundable and can only be used for Wishes, Requests and Event joining on MiNigh. The minimum top-up amount is shown to you before you pay.
12. Self-Assessment Tools
You may take MiNigh’s own Personality, Values, Social, and Emotional tests directly in the app, or self-report a personality type you obtained independently. See Section 20 below for important information about the Personality Test and third-party trademarks.
13. Deactivating or Deleting Your Account
From Settings, you may Deactivate your account at any time — this hides your profile from other users and pauses suggestions while keeping your data intact, and you can reactivate simply by logging back in. Alternatively, you may permanently Delete your account: your profile becomes immediately invisible to every other user and you will not be able to log back in with the same credentials, but, as explained in our Privacy Policy, some records connected to a financial transaction are retained for the period required by applicable tax and commercial law, and only an administrator can restore a deleted account.
14. Representations and Warranties; Indemnification
You represent and warrant that you have the right and authority to enter into this Agreement and that doing so will not violate any law or breach any obligation to a third party. You will indemnify, defend, and hold harmless ARIDRISHTI SL, Aridrishti BD, and their affiliates, directors, officers, employees, and agents from and against all third-party actions that (i) arise from your activities on MiNigh, and (ii) assert a violation by you of any term of this Agreement.
15. Financial Transactions, Security, and Chargebacks
ARIDRISHTI SL and Aridrishti BD do not retain any financial information such as card number, expiry date, CVV, or account number — we rely on third-party payment providers such as Stripe, PayPal, Wise, SSLCommerz, bKash, AamarPay and EkPay, each certified worldwide or by the laws of the country they operate in. We are not liable for any financial breach on those providers’ own systems, and you waive the right to bring any allegation against ARIDRISHTI SL/Aridrishti BD for a security breach on a third-party payment provider while using MiNigh.
You agree not to initiate a chargeback or payment dispute with your bank, card issuer, or payment provider for a payment where the corresponding Wish, Request, or Event was genuinely provided to you, and instead to use MiNigh’s own refund/cancellation process (Sections 9-10 above) or Contact Us if you believe you are owed a refund. Where a chargeback is nonetheless filed for a payment we can show was genuinely fulfilled, we may submit the evidence described in our Privacy Policy to the payment provider’s dispute process, and repeated unfounded chargebacks may result in your account being banned under Section 17 below.
16. Disclaimers and Limitations on Liability
ARIDRISHTI SL reserves the right to modify the Web Application. You are responsible for your own access to it. MiNigh is provided on an “as is” and “as available” basis, and you use it at your own risk. ARIDRISHTI SL and Aridrishti BD expressly disclaim any representations or warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, ARIDRISHTI SL and Aridrishti BD shall not be liable, concerning any claim arising out of or relating to MiNigh or this Agreement, for (i) any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses; and (ii) an amount exceeding the fee you paid for the specific Wish, Request, or Event giving rise to the claim.
Our performance of this Agreement is subject to existing laws and legal processes, and nothing in this Agreement limits our right to comply with law enforcement or other governmental or legal requests relating to your use of MiNigh. To the extent allowed by applicable law, you agree to bring any claim arising from or relating to your use of MiNigh within two (2) years from the date the claim arose, or it will be irrevocably waived.
17. Security, Abuse, Harassment, and Legal Rights Policy
MiNigh does not share your contact details with other members, to avoid harassment, intimidation, and virtual tracking after a meetup, unless you willingly share your identity or a communication channel such as a social media identity, professional identity, mobile number, or address. ARIDRISHTI SL and Aridrishti BD are not liable for your own willing disclosure of your physical or virtual identity.
No email, mobile number, phone number, address, or identity element is shared with any third party, associate, or other entity except as described in our Privacy Policy, and ARIDRISHTI SL/Aridrishti BD is not liable for your own willing disclosure of it to another user.
You choose your own secure place, date and time for a physical or virtual meetup. MiNigh does not recommend any specific venue, social media platform, or calling application for this purpose and is not liable for your physical security or for your treatment on any third-party platform you choose to use.
You agree to provide feedback about a meetup or Event afterward, to help us keep the platform safer.
In case of abuse, harassment, intimidation, or a no-show, you may report it as feedback, and we may ban a participant from MiNigh for repeated verified reports. You agree that repeated verified reports about your own conduct may result in your account being permanently banned.
Where you are banned for anti-social behaviour, you agree that we may retain the minimum data described in our Privacy Policy to prevent you re-registering with fraudulent intent.
You agree that ARIDRISHTI SL/Aridrishti BD may access and collect data from your browser and device sensors (including GPS, camera, and microphone where a feature you use requires it, such as the live photo capture in Section 4/9 or an in-app call) and may use payment functionality on your device, as needed to operate MiNigh’s features successfully.
18. Account Banning Policy
MiNigh treats human beings as inherently good, and relies on that inner strength — but sometimes people fall short, and there are consequences. Your account will be banned if, and you are reported upon:
1. You miss a meetup two (02) times in a row.
2. You behave inappropriately two (02) times in a row.
3. You contact another MiNigh user without their consent.
4. You contact another MiNigh user you met but did not get along with.
5. You use derogatory, disrespectful or offensive language two (02) times in a row.
6. You post an inappropriate link, offensive words/sentences, your mobile/telephone number, or a social media ID in a Wish, Request, or Event post, and our systems or staff find it or you are reported upon.
7. You repeatedly file an unfounded chargeback for a payment that was genuinely fulfilled (see Section 15 above).

19. AI Support Chatbot
MiNigh offers an in-app support chat that may answer your question using MiNigh’s own help content and, where needed, an AI language model, with a human MiNigh team member able to take over at any time. Answers are provided for general guidance only and do not replace this Agreement, our Privacy Policy, or the Tax Rules referenced below; where they conflict, this Agreement and those documents control.
20. Third-Party Trademarks
MiNigh’s Personality Test is developed independently for use on the MiNigh platform. It uses a 16-category classification framework that may be familiar to users of the Myers-Briggs Type Indicator® (MBTI®) system; however, MiNigh’s Personality Test uses its own questions, scoring methodology, and result names, and is not the official MBTI® assessment.
MiNigh does not reproduce, distribute, or claim ownership of the official MBTI® assessment, its proprietary questions, materials, or reports.
Myers-Briggs Type Indicator®, Myers-Briggs®, MBTI®, and related marks are trademarks or registered trademarks of Myers & Briggs Foundation. MiNigh is not affiliated with, endorsed by, sponsored by, or otherwise associated with Myers & Briggs Foundation or The Myers-Briggs Company.
MiNigh also allows users to self-report a personality type they obtained independently through the official MBTI® assessment. MiNigh does not verify the accuracy of self-reported results.
This section applies only to MiNigh’s Personality Test. MiNigh’s Values, Social, and Emotional tests are independently developed and unrelated to the MBTI® framework.
21. Tax Rules
Tax withholding, VAT, and platform-fee rules that apply specifically to hosting an Event, receiving a payout, or withdrawing money are set out in our jurisdiction-specific Tax Rules (Settings > About & Legal > Bangladesh Tax Rules / Spanish Tax Rules), which form part of this Agreement for any user or host to whom they apply.
22. Forward-Looking Statements
Statements which are based on management’s belief and on assumptions concerning future events and information currently available to management are “forward-looking statements”. You are cautioned not to place undue reliance on them. These statements are not a guarantee of performance and are subject to uncertainties and other factors, many outside ARIDRISHTI SL’s control, that could cause actual results to differ materially. ARIDRISHTI SL disclaims any intention or obligation to update or revise any forward-looking statement.
23. Arbitration & Governing Law
This Agreement is governed by the laws of the EU Consumer Protection framework, Spanish Consumer Rights and Product Safety law, and the laws of the Community of Madrid, Spain, without regard to principles of conflicts of law — except that, for a claim specific to a Bangladesh-attributed transaction processed by Aridrishti BD, Bangladeshi law and the jurisdiction of Bangladesh’s courts may also apply, as further explained in our Tax Rules. Any action arising out of or relating to this Agreement or your use of MiNigh must otherwise be commenced in the courts located in the Community of Madrid, Spain, and you consent to that jurisdiction. In any such action, ARIDRISHTI SL and you irrevocably waive any right to a trial by jury.
If ARIDRISHTI SL, its subsidiaries, or its agents form a legal entity in another country in the future, that entity will follow the law of that country, and you will abide by it.
If any term of this Agreement is found invalid or unenforceable, that term will be severed from the Agreement, and the remainder will continue in effect. No failure or delay by ARIDRISHTI SL in exercising any right under this Agreement will waive any further exercise of that right. Our rights and remedies under this Agreement are cumulative and not exclusive.
This Agreement binds and benefits both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign this Agreement without ARIDRISHTI SL’s prior written consent. No third party has any rights under this Agreement.
English is the language of arbitration. Since we provide translations in many languages, in case of ambiguity or disagreement, the English-language version controls.
This Agreement may only be modified by a revised Terms of Use posted on MiNigh, or by a written amendment signed by an authorised representative of ARIDRISHTI SL. A revised Terms of Use is effective as of the date it is posted.
24. Contact
This Agreement constitutes the entire understanding between ARIDRISHTI SL/Aridrishti BD and you concerning your use of MiNigh, and supersedes all prior agreements and understandings on the same subject.
