MINIGH TERMS AND CONDITIONS

This Terms of Use Agreement (the "Agreement") constitutes a binding agreement between ARIDRISHTI SL (registered under Mercantil Madrid (Asiento:10/153/1 146 Folio: 170 FP: 28/06/21 Prof:2021/2981/N/22/06/2021), NIF-B42834606, Calle Leon Felipe 6, Fuenlabrada, Madrid, Spain and its partners agents/companies in different countries) ("MiNigh- a product of ARIDRISHTI SL " "we," or "us") and you concerning your use of https://www.minigh.com/ “the Web Application"). By visiting the Site, you accept this Agreement. If you do not wish to be bound by this Agreement, do not use the Site.
This Agreement does not apply to the use of websites or applications operated by ARIDRISHTI SL, such as FlyScan, DocValy, EasyKomida, E-Trust, etc or other active research projects for example TrafficEye, FlySave, Kotha etc. We refer you to each website’s / application’s respective terms of use for the terms applicable to the use of such website/web applications/mobile applications.
1. License to Use the Web Application
ARIDRISHTI SL grants you a limited, non-exclusive license to access and view content on the Site for your own personal, non-commercial/extremely limited commercial (by using referral link only) purposes. This license is personal to you and may not be assigned or sublicensed to anyone else. Except as expressly permitted by ARIDRISHTI SL in writing, you will not reproduce, redistribute, sell, create derivative works from, decompile, reverse engineer or disassemble the Site. Nor will you take any measures to interfere with or damage the Site. All rights not expressly granted by ARIDRISHTI SL are reserved.
2. Privacy
We are fully compliant with the EU personal data protection policy and GDPR. Where links to websites or applications operated by ARIDRISHTI SL businesses are featured on the Site, we encourage you to read the privacy policy posted on those websites or applications to understand their procedures for collecting, using, and disclosing personal data. 3. Submissions
You may submit inquiries or feedback to MiNigh through the contact Contact Us. Do not submit information that would be considered proprietary and confidential. ARIDRISHTI SL is not required to review any submission of content. To the extent you submit any ideas or feedback to ARIDRISHTI SL or the advertising video link you send to ARIDRISHTI/MINIGH to become a marketing executive: you grant ARIDRISHTI SL a perpetual, worldwide, royalty-free right and license to use such content for any purpose.
4. Representations and Warranties; Indemnification
You represent and warrant that you have the right and authority to enter into this Agreement and that by doing so, you will not violate any law or breach any obligation to any third party. You will indemnify, defend, and hold harmless ARIDRISHTI SL (MiNigh) and its affiliates, directors, officers, employees, and agents, from and against all third-party actions that: (i) arise from your activities on the Site, and (ii) assert a violation by you of any term of this Agreement.
5. Disclaimers and Limitations on Liability
ARIDRISHTI SL reserves the right to modify the Site. You are responsible for providing your access to the Site. ARIDRISHTI SL provides the Site on an “as is” and “as available” basis. You therefore use the Site at your own risk. ARIDRISHTI SL expressly disclaims any representations or warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, ARIDRISHTI SL shall not be liable, concerning any claim arising out of or relating to the Site or this Agreement, for (i) any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses; and (ii) an amount exceeding 6 Euros (wish fee for a single meet up).
Our performance of this Agreement is subject to existing laws and legal processes, and nothing contained in this Agreement limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of this Site or information provided to or gathered by us for such use. To the extent allowed by applicable law, you agree that you will bring any claim or cause of action arising from or relating to your access or use of this Site within two (2) years from the date on which such claim or action arose or accrued or such claim or cause of action will be irrevocably waived.
6. Forward-Looking Statements
Statements” which are based on management’s belief as well as on a number of assumptions concerning future events and information currently available to management. You are cautioned not to put undue reliance on such forward-looking statements. These statements are not a guarantee of performance and are subject to several uncertainties and other factors, many of which are outside of ARIDRISHTI SL's control, that could cause actual results to differ materially from such statements. ARIDRISHTI SL disclaims any intention or obligation to update or revise any forward-looking statements, whether due to new information, future events or otherwise.
7. Arbitration & Rules
This Agreement shall be governed by the laws of EU Consumer Protection law and the Spanish Consumer Rights and Product Safety, the laws of the Community of Madrid Spain, without regard to principles of conflicts of law. Any action arising out of or relating to this Agreement or your use of the Site must be commenced in the courts located in the Community of Madrid, Spain (and you consent to the jurisdiction of those courts). In any such action, ARIDRISHTI SL and you irrevocably waive any right to a trial by jury.
If or when ARIDRISHTI SL or its subsidiaries, associates, agents representing ARIDRSIHTI SL or its products itself become an independent entity and form a legal entity in any other country then that legal entity will follow the land of the law of that country and you will abide by that law.
If any term of this Agreement is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from this Agreement. No failure or delay by ARIDRISHTI SL in exercising any right hereunder will waive any further exercise of that right. ARIDRISHTI SL’s rights and remedies hereunder are cumulative and not exclusive.
This Agreement is binding upon and shall inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign this Agreement without ARIDRISHTI SL’s prior written consent.
No third party shall have any rights hereunder.
The English language will be the medium of arbitration. Since we provide translations in many different languages, in case of ambiguity or disagreement the English language will serve as the main source for arbitration
This Agreement may not be modified except by a revised Terms of Use posted by ARIDRISHTI SL on the Site or a written amendment signed by an authorized representative of ARIDRISHTI SL.
A revised Terms of Use will be effective as of the date it is posted on the Site.
8. Refund Policy
Upon paying for a WISH to meet if you don’t go for a meetup, a REFUND button will be available after 14 days following the EU policy on the “view my wish” page. You can get a full/partial refund (depending on the country you reside in and the location of the payment gateway’s company). You agree that you will accept the refund except the fee paid for the transaction which will depend on the payment gateway and payment method used.
You agree that ARIDRISHTI SL can automatically transfer unused (eligible for refund but you have not yet taken the refund) wish fee to pay for your new wish
9. Cancellation Policy
You can cancel or delete your wishes anytime till you get a match (a match means both the parties the WISH poster (you) and the WHISPERE (your potential meeting partner) both of you paid to meet either virtually or physically).
You agree that after you get a match you can't cancel or delete your wish
10. Security, Abuse, Harassment, and Legal Rights Policy
ARIDRISHTI SL, through the web application of MiNigh, has created a platform where your identity remains unknown to avoid harassment, intimidation, abuse, and virtual tracking after a meet-up unless you willingly share your identity or communication channel like social media identity, professional identity, mobile number, telephone number, address etc. ARIDRISHTI SL is not liable for the willing disclosure of your physical, or virtual address/identity.
No email, mobile number, phone number, address, or any identity elements are shared with any third party, associates, or any other entity such as MiNigh ID and ARIDRISHTI SL is not liable for your willing disclosure of your physical, or virtual address/identity
You can choose your own secured place, date and time for a physical meet-up where ARIDRISHTI SL does not recommend any bar/restaurant/cafe/hotel/ or any place and is not liable for your physical security
You can choose your own secured place, date and time for a virtual meet-up where ARIDRISHTI SL does not recommend any social media or any video/audio messenger and is not liable for your abuse on third-party online platforms
You agree that you will provide feedback about the meet-up status/opinion after the meet-up and help us to make the platform more secure and better
ARIDRISHTI SL uses social media messenger bots to access the MiNigh platform but does not disclose your identity to any user or third party. You agree that you are responsible for not revealing your identity when you use bots on those messenger platforms
In case of any abuse, harassment, intimidation, or no show you can provide your feedback and ARIDRISTI SL will ban a participant from the MiNigh platform for life in case of three such feedback by you or others. You agree that if you get such three feedback from other users you accept the lifetime ban on the MiNigh web application/site
You agree that in case of a lifetime ban on the MiNigh web application/site, you waive the right to ARIDRISHTI SL to keep your data (email, browser fingerprint, age, gender identity, partner gender identity, partner age range, zodiac sign, personality type, and your location data to prevent you re-registering on MiNigh web application with a fraudulent intent to abuse other users in the application/site
You agree that you waive the right to ARIDRISHTI SL to keep your data (email, browser fingerprint, age, gender identity, partner gender identity, partner age range, zodiac sign, personality type, and your location data) until you delete your account on the MiNigh web application
You agree that ARIDRISTI SL through the MiNigh web application can access and collect data from your browser and GPS sensor and can use the device's audio, video, and wallet to collect/execute location data through IP address or from GPS or both, real-time P-to-P messaging, audio/video call, payment or any other sensor/application needed for running the MiNigh web application successfully to find your desired match
11. Account Banning Policy
MiNigh is a social platform which considers human beings are inherently “good” and we rely on our inner strength of being human. However, sometimes we may lose control and do things which are anti-social and not expected out of us. Once we commit those, we should take the consequences graciously. You agree that your account will be banned under the following circumstances:
1. If you miss a meetup consecutively two (02) times and are reported upon, your account will be banned.
2. If you behave inappropriately consecutively two (02) times and are reported upon, your account will be banned.
3. If you try to contact other MiNigh users without their consent and are reported upon, your account will be banned.
4. If you try to contact another MiNigh user whom you met but did not go along with and reported upon, your account will be banned.
5. If you use derogative, disrespectful and offensive words two (02) times and are reported upon, your account will be banned.
6. If you post an inappropriate link, write offensive words/sentence, or write your mobile/telephone number, or any of your social media IDs in a wish post either our AI or any of our employees find it out or you are reported upon, your account will be banned.

12. Financial Transaction and Security
ARIDRISHTI SL does not retain any financial information for example card number, expiry date, CVV, account number etc rather uses a third-party payment integrator such as STRIPE, PAYPAL, etc certified worldwide or by the laws of the land of the company. Hence, ARIDRISHTI SL is not liable for any financial breach for the transaction and you waive the right to bring any allegation in case of a security breach on those payment integrators while using MiNigh.
You agree to withdraw cashback/referral money from your account when the amount is more than 20 euros or equivalent (if you have paid in a different currency)
13. Contact
This Agreement constitutes the entire understanding between ARIDRISHTI SL and you concerning using the product MiNigh through the web application https://www.minigh.com/ hereof it supersedes all prior agreements and understandings regarding the same.
